This Intellectual Property Policy (“Policy”) applies to the use of the Platform operated by H3S SAVUNMA SANAYİ VE DİJİTAL HİZMETLER TİCARET A.Ş. (“Directory Defence”, “Company,” “we,” “us,” “our”) and forms an integral part of the Terms & Conditions.
1 Ownership of Platform Intellectual Property
All intellectual property rights in and to the Platform — including but not limited to the website layout, design, trade names, trademarks, service marks, domain names, software, databases, search tools, AI algorithms, user interface elements, text, icons, graphics, data compilation and all other proprietary content — are the exclusive property of the Company or its licensors.
No license or right is granted to Users regarding the Platform’s intellectual property unless expressly authorized in writing by the Company.
Users shall not:
- copy, reproduce, distribute, display, web scraping, publish or transmit any part of the Platform or Services
- reverse engineer, decompile or attempt to access the Platform’s source code or AI architecture
- use Company trademarks or trade dress without written authorization
- remove, alter or obscure copyright notices or proprietary legends
2 Intellectual Property and Ownership Representation
Listing Company explicitly represents, warrants and undertakes that:
(a) all products, product images, photographs, logos, trademarks, descriptions, technical documents, catalogues, datasheets, certifications and any other content published on the Platform (collectively, “Listing Company Content”) are owned by the Listing Company or published with valid, lawful and transferable usage rights and licenses;
(b) Listing Company Content does not infringe, violate or misappropriate any third party’s intellectual property, industrial property or other proprietary rights, including but not limited to trademarks, patents, utility models, industrial designs, copyrights, trade dress, trade secrets or confidential commercial information;
(c) the listing, publication, promotion or display of Listing Company Content on the Platform does not breach any confidentiality agreements, non-disclosure agreements, licensing restrictions, exclusivity obligations or restrictions arising from distributorship or franchising relationships;
(d) no Listing Company Content constitutes counterfeit, unlicensed, illegally reproduced or unauthorized product information or materials.
The Listing Company assumes full, sole and unlimited responsibility for all intellectual property and industrial property rights related to Listing Company Content. The Platform does not conduct ownership verification, IP audit, authenticity review or brand authorization review of Listing Company Content and shall bear no liability for any IP disputes or enforcement actions initiated by third parties, authorities or rightsholders.
In the event that any legal notice, takedown demand, complaint or government request is received regarding Listing Company Content, the Platform reserves the right to:
- remove or disable such content
- suspend or terminate the membership, and
- retain all fees without refund, credit or compensation
All legal, commercial and financial damages arising from IP disputes — including but not limited to lawsuits, administrative penalties, compensation claims and attorney fees — shall be borne exclusively by the Listing Company, and the Listing Company agrees to fully defend, indemnify and hold the Platform harmless against such claims.
Listing Company is exclusively responsible for:
- obtaining and maintaining any required permissions, licences and registrations
- ensuring that their products and communications comply with all applicable national and international IP laws
3 Platform Liability Exclusion
The Platform is a technology intermediary and does not own, verify, validate, moderate or guarantee any Listing Company Content.
Accordingly:
- The Company does not review the originality, accuracy, authorship or IP legitimacy of Listing Company Content
- The Company is not liable for copyright, trademark, patent, design, publicity or other IP violations arising from Listing Company Content
- Any legal, administrative or financial consequences arising from IP infringement are the sole responsibility of the Listing Company
The Company is not responsible for:
- disputes between Users
- counterfeit allegations
- parallel importation
- unauthorized distribution or licensing
- misrepresentation of brand ownership
4 License Granted to the Platform by Listing Company
By uploading Listing Company Content, Listing Company grant the Company a non-exclusive, worldwide, royalty-free, sublicensable license to:
- display, host, reproduce, transmit, index, translate and store Listing Company Content for the purpose of operating the Platform
- use Listing Company trademarks and product descriptions solely to present listings to Users
This license does not transfer ownership of Listing Company Content to the Company.
5 Copyright Complaint and Takedown Procedure
If the Company receives a valid written notice alleging that Listing Company Content infringes intellectual property rights, the Company may, at its sole discretion:
- remove or disable access to the allegedly infringing content
- request clarifications or proof of ownership from the Listing Company
- suspend or terminate the Listing Company’s account
- notify competent authorities when required by law
The Company reserves the right to take immediate action without refund where repeated or intentional IP infringement is detected.
6 No Guarantee of Commercial Exclusivity
The Platform does not:
- guarantee exclusivity of brands or territories
- verify reseller or distribution rights
- ensure compatibility between Listing Company and potential buyers
The Company will not be held responsible for:
- contract violations between third parties
- unauthorized resale or gray-market activity
- failure to prevent imitation or competitive products
7 Indemnification
Listing Company agree to defend, indemnify and hold the Company harmless from and against all claims, losses, damages, costs and liabilities arising out of or related to:
- Listing Company Content
- any alleged or actual infringement of third-party IP rights
- any dispute between Listing Company and other Users or third parties
